Kosovo company Proex International to take control of Tinex, competition commission seeks opinions

The Commission for Protection of Competition has published a notification that Proex International L.L.C., a company based in Pristina, intends to acquire control of Tinex Market DOOEL Skopje. The notice says the notification of concentration was delivered to the Commission on 10 August 2026 and invites interested third parties to submit comments within ten days.

According to documents filed with the Commission, on 2 July 2026 Tinex-MT, as seller, and Proex International, as buyer, signed a Letter of Intent and a transaction framework that set out the main commercial terms and the structure of the planned takeover. The transaction concerns the retail business of Tinex-MT — the chain of stores operating under the names Tinex, SuperTinex, Tinex Delikates, Konto and Spot.

Key elements of the planned deal

The papers show that a new legal entity, Tinex Market, was registered on 14 July 2026 — twelve days after the Letter of Intent was signed. That entity is listed as the vehicle through which the retail business will be acquired and continued.

The Commission notes that Proex International's principal activity is retail trade in non-specialized stores, predominantly selling food, beverages and tobacco products. It also states that Proex and the group to which it belongs have no affiliated entities registered in North Macedonia, nor did they record revenues on the Macedonian market in 2025.

Regarding legal scrutiny, the Commission writes: "The Commission determined that the concentration in question may fall under the provisions of the Competition Protection Law. However, the final decision on this matter is reserved. The Commission calls on interested third parties to submit comments and opinions on this concentration to the Commission." The notice sets a ten-day deadline for submitting remarks.
